The foundation’s governance structure is designed to ensure responsible management, sound decision-making and broad representation. Below you will find an overview of the Board of Directors, the General Meeting and the administration.
The Board of Directors
The Board of Directors decides which areas the foundation’s funds will be allocated to and makes decisions regarding who will receive support from the foundation. The Board consists of 7 members.

The General Meeting
The General Meeting of Sparebankstiftelsen DNB is responsible for the following tasks:
- Approving the annual accounts and annual report
- Electing members to the foundation’s Board og Directors
- Electing members to the Election Committee
- Election of the auditor and determination of the auditor’s remuneration
- Determining fees for the foundation’s trustees
- Decisions on amendments to the foundation’s Statutes. Amendments also require approval by the Financial Supervisory Authority of Norway.
- Any sale of the shares the foundation owns in DNB ASA
The General Meeting consists of a total of 31 members.
When the foundation was established, key components of its governance system were drawn from the savings bank tradition. As a result, the composition of the General Meeting reflects the regions where the savings bank’s funds were historically accumulated:
- 15 members are elected by the county councils in the regions where the former Gjensidige NOR Sparebank had its historical roots (Eastern Norway).
- 15 members are elected by DNB customers in these same districts, and 1 representative is elected by customers in the rest of the country (a total of 16 customer-elected representatives). The last election of General Meeting representatives took place in February 2026. DNB’s personal customers over the age of 18 voted in the online bank and mobile bank.
